Abstract
AnotaceTato bakalářská práce se zabývá novou právní úpravou podnikatelských seskupení v České republice. Jak napovídá název, hlavní náplní práce je popsání nové úpravy podnikatelských seskupení z hlediska Českého právního řádu. Jsou zde popsány nová ustanovení týkající se této problematiky platná od 1. 1. 2014 a její srovnání se zanikající starou právní úpravou. V rámci teoretické části se práce zabývá zejména rozdělením jednotlivých podnikatelských seskupení na ovlivnění, ovládání a koncerny a jejich definicí v rámci právní úpravy. S každým stupněm seskupení zároveň souvisí další pojmy, jako je jednotné řízení či zpráva o vztazích, které jsou také vysvětleny. V praktické části práce je popsán konkrétní případ koncernu. Vybranou společností je česká výrobní firma podnikající v textilním průmyslu. Je zde uveden její vztah vůči její ovládající osobě a také její místo v rámci celé skupiny. Výsledkem práce je návrh ideální formy podnikatelského seskupení a uvedení jeho hlavních výhod.
AnnotationThe new legislation of corporate groups in the Czech RepublicThis thesis deals with the new legislation of corporate groups in the Czech Republic. As the name suggests, the main task is to describe the new regulation of corporate groups in terms of the Czech legal order. There are described the new provisions on this subject valid from 1st January 2014 and its comparison with the disappearing old legislation. The theoretical part deals with particular division of individual corporate groups to influence, control and corporations and their definitions within the legislation. Each degree grouping together is related to other concepts such as unified management and report on relationships. These expressions are also explained. The practical part describer the particular case of concern. The selected company is Czech manufacturing company doing business in the textile industry. It is incorporated herein by its relationship to its controlling entity and its place within the whole group. The result of the thesis is a proposal for the ideal type of the corporate group and bringing its advantages
