Abstract
Tato diplomová práce se zabývá problematikou orgánů akciových společností s monistickým a dualistickým systémem vnitřní struktury. Práce má dvě části, teoretickou a praktickou. Teoretická část vysvětluje základní pojmy týkající se akciových společností. Jsou zde uvedeny typické vlastnosti a výhody této právní formy podnikání. První část také popisuje monistickým a dualistickým systémem organizace orgánů, vymezuje hlavní silné a slabé stránky. Za ní následuje popis orgánů akciových společností: valné hromady, představenstva, dozorčí rady a správní rady. Jsou stanoveny faktory ovlivňující výkonnost orgánu. Praktická část nejprve charakterizuje vybranou společnost a její současnou situaci. Pak jsou představeny její orgány. Na konci diplomové práce je situace zhodnocena a jsou uvedeny návrhy na zlepšení výkonnosti orgánů.
This diploma thesis deals with the issue of bodies of public limited companies with one-tier and two-tier strukture. The thesis has got two main parts theoretical and practical part. The theoretical part explains the basic concepts related to public limited companies. There are listed typical feature and advantages of thies type of companies. First part also describes one-tier and two-tier board structure, determines its main strong and week points. It is followed by a description boards of public limited companies: general meeting, management board, supervisory board and board of directors. It is determined factors affecting the productivity of the boards. The practical part first characterizes the selected company and its current situation. Then are introdused boards of this company. At the end of the diploma thesis the situation is evaluated, and the suggestions for improvement productivity of the board are presented.
