Abstract
Tématem diplomové práce je spolupráce a slučování podniků. Toto téma je nejprve pojednáno z teoretického hlediska, kde jsou popsány a charakterizovány jednotlivé formy spolupráce a slučování. Praktická část pak zkoumá na příkladu vybraného českého a zahraničního podniku konkrétní podobu této spolupráce a především pak jejich dopady.Účelem práce je poukázat na to, že spolupráce mezi podniky může kromě prokazatelně pozitivních, především ekonomických dopadů, s sebou nést i dopady negativní, které by vedení podniku nemělo přehlížet a ignorovat a mělo by se je pokusit řešit a následně je pokud možno zcela, či alespoň částečně odstranit. Výsledkem práce je zjištění, že pohled na dopady spolupráce a sloučení se může v některých ohledech velmi lišit jak mezi oběma zúčastněnými podniky, tak mezi jejich vedením a řadovými zaměstnanci. V rámci práce jsou pak navržena konkrétní řešení k eliminaci, či alespoň zmírnění některých negativních dopadů spolupráce a sloučení podniků, které byly v rámci praktické části u vybraných konkrétních podniků odhaleny.
The topic of this master thesis is Cooperation and mergers of enterprises. This topic is first interpreted from the theoretical point of view, where different forms of cooperation and mergers are described and characterized. The practical part makes a research on an example of a chosen Czech and foreign company and explores a definite form of their cooperation and mainly its effects. The purpose of this thesis to point out, that a cooperation between enterprises can not only have positive, primarily economic effects, but also some negative ones. These negative effects should not be overlooked and ignored by the company headquarters, which should try to deal with these effects and eliminate, or at least minimize them.The result of the thesis is the discovery, that in some points of view both cooperating companies, as well as the headquarters and the employees can have a different opinion of this cooperation. In this thesis some possible solutions are described, how to eliminate or minimize some negative effects of a cooperation and merger, which have been discovered in the practical part on an example of a chosen Czech and foreign company.
